The registered office is the address at which a company officially receives communication, and where its statutory registers are kept. Changing it requires a filing with the Registrar — how involved that filing is depends entirely on how far the office is moving.

A move within the same city is straightforward. A move to a different Registrar jurisdiction or a different state is a materially heavier process requiring shareholder approval and, for an interstate move, an order from the Regional Director.

Three different moves, three different procedures

  • Within the same city, town or village — a board resolution and Form INC-22 within thirty days
  • Outside the local limits but within the same Registrar jurisdiction — a special resolution of the shareholders, then INC-22
  • To a different Registrar within the same state — a special resolution and approval from the Regional Director in Form INC-23
  • To a different state — a special resolution, newspaper advertisement, notice to creditors and to the state, and a Regional Director order

The interstate move in more detail

An interstate change requires altering the memorandum, which is why it needs a special resolution and central government approval exercised through the Regional Director.

You must advertise the proposed change in a newspaper, serve notice on every creditor and debenture holder, and serve the state government whose jurisdiction you are leaving. Any of them may object, and the Regional Director must hear objections before making an order.

  • PAN and TAN address records
  • Bank accounts and loan documentation
  • Licences and registrations held under other laws
  • Letterheads, invoices, website and the board displayed outside the office
  • Statutory registers, which must be kept at the new address

Frequently asked questions

How long do I have to file after moving?

Form INC-22 must be filed within thirty days of the change. Late filing attracts a per-day additional fee.

Can the registered office be a residential address?

Yes, provided you can produce a utility bill and a no-objection letter from the owner. Many small companies use a director’s residence.

Why is an interstate move so much harder?

Because it alters the memorandum and shifts jurisdiction. Creditors and the state you are leaving have a right to object, and the Regional Director must hear them before approving.

Does my CIN change if I move states?

Yes. The corporate identity number encodes the state, so an interstate move produces a new CIN, though the company itself continues unchanged.

Do I need to update GST separately?

Yes. Nothing updates automatically. The GST registration must be amended, and a move to another state requires a new GST registration there.
