Every company registered in India must complete a set of filings each year, whether or not it traded. The obligations run to the Registrar of Companies and to the income tax department, and they are separate — satisfying one does nothing for the other.
What makes company compliance unforgiving is the penalty structure. Late filing of the annual forms attracts an additional fee that accrues per day with no upper limit, so a form forgotten for a year can cost more than the work itself.

The annual filing calendar
- Appointment of the statutory auditor, and filing of Form ADT-1
- Board meetings at the intervals the Act prescribes, with minutes maintained
- Annual general meeting, generally within six months of the financial year end
- Form AOC-4 — filing of the audited financial statements
- Form MGT-7, or MGT-7A for an OPC and small company — the annual return
- Form DIR-3 KYC for every director holding a DIN
- Income tax return in Form ITR-6
- Quarterly TDS returns where the company deducts tax
Filings that catch companies out
Beyond the annual set, several event-based and periodic forms are commonly missed because nobody is watching for them.
- Form DPT-3, the annual return of money received that is not a deposit
- Form MSME-1, the half-yearly return of dues outstanding to micro and small suppliers
- Form INC-20A, the declaration of commencement of business for a new company
- Form BEN-2, on significant beneficial ownership
- Dematerialisation of shares, now required for most private companies
What non-compliance actually leads to
- Per-day additional fee on late forms, accruing without a cap
- Directors disqualified for five years where filings are missed for three consecutive years
- The company struck off the register by the Registrar
- Difficulty opening bank accounts, raising credit or completing due diligence
- Personal liability for officers in default, in certain cases

Frequently asked questions
Does a company with no business still have to file?
Yes. A dormant or non-trading company must complete the full annual filing set. Nil filings are still filings, and the per-day penalty applies equally to them.
What is the penalty for late filing?
An additional fee accrues per day of delay on the annual forms, and it is not capped. A form left unfiled for a year can cost several times the original fee.
Can directors be disqualified?
Yes. Where a company fails to file its financial statements or annual returns for three consecutive years, its directors face disqualification for five years, which also bars them from other boards.
Are audit fees included in your charges?
No. The statutory auditor is independently appointed and their fee is payable directly to them. Our charges cover the accounts, secretarial work and the filings.
Can you take over from our existing consultant mid-year?
Yes. We start with a review of what has and has not been filed, so you know your exposure before we take responsibility.
What is not included. Government fees, statutory charges, stamp duty, court and registry fees, digital signature costs and any third-party professional charges are separate and payable at actuals.
