LLP Form 11 Annual Return

The yearly return of partners and contribution, due within sixty days of the financial year end.

Form 11 is the annual return of a limited liability partnership. It reports the partners, their contribution and any changes during the year, and it is due within sixty days of the financial year end — which means 30 May for an LLP on the standard April to March year.

It is one of two annual filings an LLP must make, and it falls due first. Because it comes only two months after year end, it is frequently missed by LLPs that assume their filing obligations begin when the accounts are finalised.

It is due whether or not you traded

A dormant LLP with no business activity still files Form 11. There is no exemption for inactivity, and a nil filing is still a filing.

This is the point that costs LLPs the most money. The additional fee for a late LLP form accrues per day and is largely uncapped, so a nil return forgotten for two years can attract a liability many times the cost of filing it on time.

Certification

Form 11 must be digitally signed by two designated partners. Where the LLP’s contribution or turnover exceeds the prescribed limits, it must also be certified by a practising company secretary.

Below those limits a designated partner may certify the correctness of the particulars, but the responsibility for accuracy remains with them personally.

Form 11 and Form 8 are different

Form 11 is the annual return of partners, due 30 May. Form 8 is the statement of account and solvency, due 30 October. They report different things and carry different deadlines.

Filing one does not satisfy the other, and both must be current before an LLP can be struck off or before certain other filings will be accepted.

Frequently asked questions

When is Form 11 due?

Within sixty days of the financial year end, so 30 May for an LLP on the standard April to March year. It falls due well before the accounts are typically finalised.

Do we file if the LLP had no activity?

Yes. There is no exemption for a dormant LLP, and a nil return is still due. The per-day additional fee applies equally to it.

How bad is the late fee?

It accrues per day and is largely uncapped for LLP forms, so it grows without limit. A nil filing forgotten for a couple of years can cost many times what timely filing would have.

Is a company secretary certificate required?

Only where the LLP’s contribution or turnover exceeds the prescribed limits. Below them, a designated partner may certify the particulars.

Is this the same as Form 8?

No. Form 11 is the annual return of partners, due 30 May. Form 8 is the statement of account and solvency, due 30 October. Both are required and neither substitutes for the other.
