An LLP has a lighter compliance load than a company, but it is not light enough to ignore. Two forms go to the Registrar each year and a return goes to the income tax department, and the LLP penalty regime is unusually harsh.
The additional fee for late filing of LLP forms accrues per day, and for some forms without the cap that applies elsewhere. An LLP that has not filed for a few years can face a liability running into lakhs on forms that would have cost a few thousand rupees filed on time.

The annual calendar
- Form 11 — annual return of partners and contribution, due within sixty days of the financial year end, so by 30 May
- Form 8 — statement of account and solvency, due by 30 October
- Income tax return in Form ITR-5, by the applicable due date
- DIR-3 KYC for every designated partner holding a DIN, by 30 September
- Audit, where turnover exceeds ₹40 lakh or contribution exceeds ₹25 lakh
Filing is due even with no activity
A dormant LLP that has not traded still files Form 11 and Form 8. Nil filings are still filings, and the per-day fee applies to them exactly as it does to an active LLP.
This is the most common and most expensive misunderstanding we encounter. Partners assume that no business means no obligation, and discover otherwise when they try to close the LLP or bring in a new partner.

- 5 Form 8 The statement of account and solvency is filed by 30 October, certified as required.
- 6 Tax return and KYC ITR-5 is filed and DIR-3 KYC completed for each designated partner.
Frequently asked questions
Does a dormant LLP have to file?
Yes. Form 11 and Form 8 are due whether or not the LLP traded. Nil filings still carry the per-day penalty if late.
How bad is the late fee?
It accrues per day and for some forms is uncapped, so it grows without limit. An LLP a few years behind can face a liability far exceeding the cost of timely filing.
When does an LLP need an audit?
Where turnover exceeds ₹40 lakh or partner contribution exceeds ₹25 lakh in a financial year. Below that, accounts must still be maintained and Form 8 filed.
What if the LLP agreement changed?
File Form 3 within thirty days of the change. Amendments to profit sharing, contribution or partner rights all require it.
Can I close an LLP with pending filings?
No. Strike off under Form 24 requires the filings to be up to date first, so the backlog and its fee must be cleared before closure.
