A Director Identification Number is deactivated when the annual KYC filing is missed. It is the single most common compliance failure among directors, because the obligation attaches to the individual rather than to any company, and nobody sends a reminder to the person.

While the DIN is inactive you cannot be appointed anywhere, and no company where you are already a director can file any form requiring your signature. That second consequence is the damaging one, because those companies then start accruing their own penalties.

Reactivation is mechanical

Where the deactivation is simply for a missed KYC, reactivation is straightforward. The pending KYC is filed with the prescribed late fee, and the DIN is typically reactivated within a day or two of the filing being processed.

The fee is charged per DIN per filing. Where several years have been missed, the position should be checked before filing, because the requirement differs depending on how the record stands.

Deactivation is not disqualification

These two are frequently confused and they are quite different. Deactivation follows a missed KYC and is cured by filing it. Disqualification under Section 164 follows a company failing to file its financial statements or annual returns for three consecutive years, and it bars the person from every board for five years.

A disqualified director cannot cure the position by filing KYC. That requires addressing the underlying company default, and often an application to the tribunal.
