LLP Closure & Strike Off

Wind up a limited liability partnership with partner consent and the closure application to the Registrar.

An LLP that has stopped trading continues to accrue obligations. Form 11 and Form 8 remain due every year, and the LLP additional fee runs per day without the cap that applies to many company forms — which is why a dormant LLP left alone becomes expensive faster than a dormant company.

Closing it formally is done by striking the name off the register under Form 24. It is the cheapest exit available, provided the LLP qualifies.

When Form 24 is available

  • The LLP has not carried on business for one year or more, or never commenced
  • It has no liabilities outstanding, and all creditors have been paid
  • All partners consent to the closure
  • Annual filings are up to date to the end of the financial year in which it ceased trading
  • Bank accounts have been closed and a certificate obtained
  • The LLP agreement, where not previously filed, is filed with the application

The filings have to be cleared first

This is the part that surprises partners. The Registrar will not strike off an LLP with overdue Form 11 or Form 8, so the backlog must be filed — with all the accumulated additional fee — before the closure application.

For an LLP several years behind, that clearing cost can exceed anything the business ever earned. It is still cheaper than leaving the entity open, because the fee keeps accruing either way.

Alternatives to closing

Unlike a company, an LLP has no formal dormant status to fall back on. The compliance obligation continues regardless of activity.

That makes the decision simpler: either the LLP is worth the annual filings, or it should be closed. Leaving it drifting is the one option that costs money without delivering anything.

  4. 4 Statement of accounts A nil statement of accounts is prepared and certified, dated within thirty days of the application.
  5. 5 Affidavits and consents Partner consents, affidavits and the indemnity bond are executed.
  6. 6 Filing Form 24 The application is filed, after which the Registrar publishes notice and strikes the name off if unopposed.

Frequently asked questions

Can I close an LLP with pending filings?

No. Form 11 and Form 8 must be up to date to the end of the financial year in which the LLP ceased trading, including the accumulated additional fee.

Is there a dormant status for LLPs?

No. Unlike companies, an LLP has no dormant status. The annual filings continue whether or not there is any activity, which is why closure is usually the right answer for an inactive LLP.

What if a partner will not consent?

All partners must consent to a Form 24 application. Where consent cannot be obtained, the remaining route is winding up through the tribunal, which is slower and considerably more expensive.

Can a struck-off LLP be restored?

Yes, by application to the tribunal within the period allowed. It is expensive and slow, so closure should be a considered decision.

How bad does the late fee get?

It accrues per day and for LLP forms is largely uncapped, so it grows without limit. An LLP a few years behind can face a very substantial figure.
