Legal Entity Identifier (LEI) Code

The global reference code large borrowers and market participants must quote on financial transactions.

A Legal Entity Identifier is a twenty-character code that uniquely identifies a legal entity in financial transactions worldwide. It was introduced after the financial crisis so that regulators could see who was actually party to a transaction across borders.

In India the Reserve Bank has made it mandatory for entities above certain thresholds — for large-value payment transactions, for borrowers above a specified exposure, and for participants in the over-the-counter derivatives and non-derivative markets.

Where it is required

  • Borrowers with aggregate fund-based and non-fund-based exposure above the RBI threshold

What happens without one

Banks are directed not to renew or enhance credit facilities to borrowers above the threshold who do not hold a valid LEI. That is the consequence that bites — it is not a penalty, it is a refusal.

Large-value payment instructions can also be rejected where the code is required and not quoted, which disrupts settlement at exactly the wrong moment.

Annual renewal is the part people miss

An LEI must be renewed every year. An unrenewed code moves to lapsed status, and while it technically still exists, it is treated as invalid for regulatory purposes.

Because the code itself does not change on renewal, it is easy to assume it remains valid. Banks check the status rather than the existence of the code, and a lapsed status is what triggers the refusal.
