DPT-3 Return of Deposits
The annual return disclosing money a company has received that is not treated as a deposit.
Form DPT-3 is the annual return in which a company discloses money it has received that is not treated as a deposit — most commonly loans from directors, advances from customers, and inter-corporate borrowings.
It catches many companies unaware because the name suggests it applies only to companies accepting deposits. It does not. Almost every company that has borrowed anything, including from its own directors, has a filing obligation.

The director’s loan point
A loan from a director is not a deposit, provided the director furnishes a written declaration that the money is their own and not borrowed from someone else. That declaration is a condition of the exemption, and it must actually be on file.
A loan from a relative of a director is treated differently for a private company than for a public one. Without the declaration, an amount that would have been exempt can be re-characterised as a deposit, which brings a far heavier compliance regime with it.

- Including private companies, one person companies and small companies
- Including companies with no outstanding amounts, which file a nil return
- Due by 30 June each year, reporting the position as at 31 March
- Banking companies, non-banking financial companies and housing finance companies are exempt

Frequently asked questions
Do I file if the company has no deposits?
Yes. The return covers money received that is not a deposit, and a nil return is due even where there is nothing outstanding. Most companies have something to report.
Is a loan from a director reportable?
Yes, as an exempt receipt rather than a deposit, provided the director has given a written declaration that the funds are their own. Without that declaration the exemption is not available.
When is it due?
30 June each year, reporting the position as at 31 March.
What happens if I do not file?
A per-day additional fee applies, and continued default can attract penalties on the company and its officers. It is also the kind of omission that surfaces during due diligence.
Are customer advances reportable?
Yes, where they are outstanding at year end. Advances held beyond the period the rules permit without supplying the goods or services can be re-characterised as deposits.
