Changing a company name is a formal process, not an administrative update. It requires a fresh name reservation, a special resolution of the shareholders, an amendment to the memorandum and articles, and a new certificate of incorporation from the Registrar.
The company itself does not change. Its corporate identity number, PAN, contracts, assets and liabilities all continue exactly as before — only the name it carries is different. That continuity is worth understanding, because it means nothing needs to be novated.

Getting the new name approved
A name is rejected if it is identical or too similar to an existing company or LLP, or to a registered trademark, unless the trademark owner consents.
It must also not be undesirable in the opinion of the central government, must not suggest government patronage, and must reflect the company’s main objects where the name implies a particular activity. Certain words require prior approval.
The sequence
- Board meeting to approve the change and authorise the name application
- Name reservation application filed and approval obtained
- General meeting called and a special resolution passed
- Form MGT-14 filed with the special resolution, within thirty days
- Form INC-24 filed applying for approval of the change
- Fresh certificate of incorporation issued by the Registrar
What has to be updated afterwards
The new certificate is the authority for updating everything else, and none of it happens automatically.

- GST registration and every other tax registration
- Bank accounts, and any loan or facility documentation
- The company seal, letterheads, invoices and signage
- Licences and registrations held under other laws
- The name displayed outside the registered office and at every place of business
- For a period, the former name must be shown alongside the new one

Frequently asked questions
Does the CIN change when the name changes?
No. The corporate identity number stays the same, as do PAN, TAN and the company’s legal identity. Only the name changes.
Do existing contracts need to be redone?
No. The company is the same legal person, so contracts, assets and liabilities continue. It is good practice to notify counterparties, but novation is not required.
Can I choose any name?
It must not be identical or too similar to an existing company, LLP or registered trademark, must not be undesirable, and must not imply government patronage. Some words need prior approval.
How long must the old name be displayed?
The former name must be shown alongside the new one on the company’s documents and at its premises for the period the Act prescribes after the change.
Does this change my GST number?
No, but the GST record must be amended to show the new legal name. The same applies to every other registration you hold.
