Charge Satisfaction Filing
Record that a secured loan has been repaid so the charge is released from your company’s index.
When a secured loan is repaid, the charge registered over the company’s assets does not disappear on its own. It must be formally satisfied by filing Form CHG-4 with the Registrar within thirty days of repayment.
Companies routinely repay a loan and forget this step. The charge then sits on the public index indefinitely, and it surfaces at the worst moment — when the next lender runs a search, or when a buyer conducts diligence on the company.

- Pass a board resolution noting the satisfaction of the charge
- File Form CHG-4 within thirty days of the date of satisfaction
- The Registrar issues a certificate of registration of satisfaction in Form CHG-5
- Update the company’s own register of charges
When the thirty days have passed
A delay of up to three hundred days can be regularised on payment of additional fees. Beyond that, an application for condonation of delay must be made to the Central Government.
Where the lender no longer exists, has merged, or simply will not respond, the Registrar may still register satisfaction after giving the lender notice and receiving no objection within the period allowed. That route takes longer but it is available.

- An outstanding charge makes the assets appear encumbered to any new lender
- It reduces the borrowing capacity a bank will assess for you
- It shows up in due diligence and delays transactions
- It can complicate the sale of the charged asset
- It obstructs strike off, since the Registrar will not close a company with charges outstanding
