What "registering" a proprietorship actually means
There is no single proprietorship registration certificate. Proof of existence is built from the registrations your activity requires, and the bank will usually ask for two of them before opening a current account.
- Udyam registration, which is the closest thing to a recognition certificate
- GST registration, where turnover or activity makes it compulsory
- Shop and Establishment registration for the premises
- A trade licence, where the municipality requires one for your activity
- A professional tax enrolment certificate, in states such as Maharashtra
- FSSAI registration, for any food-related activity
Tax treatment
The business has no separate PAN and files no separate return. Its profit is simply your income, taxed at the individual slab rates applicable to you, and reported in your own return.
That works in your favour at lower income levels, since slab rates start below the corporate rate. It works against you at higher profits, where a company paying corporate tax may be more efficient.

Is there a single proprietorship registration certificate?
No. There is no registrar for proprietorships. You establish the business through the registrations your activity requires — Udyam, GST, Shop and Establishment and so on.
Does the business need its own PAN?
No. A proprietorship uses the proprietor’s own PAN, because they are the same person in law. Its income is reported in your personal return.
Can I open a current account in the business name?
Yes. Banks generally ask for two proofs of the business, most often Udyam plus GST or a Shop and Establishment certificate, along with your PAN and Aadhaar.
Am I personally liable for business debts?
Yes, without limit. There is no separation between you and the business, so personal assets can be reached by business creditors. This is the main reason to consider an LLP or company instead.
Can it be converted later?
The business can be transferred into an LLP or a company. It is a transfer of the undertaking rather than a conversion in the strict sense, and it has tax consequences worth planning for.
